Short answer: Non-dilutive funding lets a business finance growth without giving up ownership, but it still creates a repayment obligation. It fits only when the company can comfortably make the required payments even if the growth investment takes longer than expected to produce results.
That distinction matters because “non-dilutive” describes what happens to the cap table at closing, not what the capital ultimately costs the business. A bank loan may preserve every share but restrict acquisitions and distributions. Revenue-based financing may flex with sales but take cash fastest when growth accelerates. Venture debt and mezzanine may add warrants, final fees or payment-in-kind interest. Growth equity dilutes ownership, but it does not require contractual principal and interest payments.

Non-dilutive is a cap-table description, not a cost verdict
Owners often begin with the right concern and the wrong comparison. Dilution is permanent, so preserving ownership can be valuable. But avoiding dilution at any cost can leave the business with repayments it cannot carry, collateral it cannot release, covenants that block the plan, or a maturity it can meet only by raising equity later under pressure.
Some products also sit in a gray area. Venture debt may include warrants. Mezzanine can include an equity kicker or success fee. A revenue-linked instrument can be legally documented as debt, a participation right or another structure depending on the provider and jurisdiction. Review the documents, not the marketing label.
Use two tests in parallel:
- Can the company service the instrument in a realistic downside case? Test monthly cash, covenant headroom, minimum liquidity and the repayment or refinancing path.
- Is preserving the ownership worth the cash, constraints and risk being accepted? Compare the full economic and operating cost with the value and rights transferred in an equity round.
If the first answer is no, a low headline rate does not make the debt affordable. If the second answer is no, “non-dilutive” is not a sufficient reason to choose it.
Start with the use of funds, not the product
The repayment source should resemble the asset or activity being financed. Short-cycle uses belong with facilities that can draw and repay. Long-lived assets belong with longer amortization. High-uncertainty work often needs patient risk capital.
- Recurring working-capital swings: a revolver can expand and contract with receivables, inventory or contracted activity.
- A defined acquisition, equipment purchase or expansion project: a term loan can spread repayment across the period in which the investment produces cash.
- Repeatable sales, marketing or inventory spend with measurable short payback: revenue-based financing can align payments with revenue, provided margins can absorb the revenue share.
- A venture-backed milestone before the next equity round or cash generation: venture debt can add runway when the milestone and next financing path are credible.
- A larger transaction after senior-debt capacity is substantially used: mezzanine can fill part of the gap when cash flow can support its higher cost and eventual repayment.
- Long-duration product development, uncertain market entry or growth without a reliable repayment source: growth equity may fit better because the capital absorbs operating risk rather than creating mandatory debt service.
Do not finance a permanent cash shortfall with a facility designed for temporary timing gaps. Do not use short-maturity capital for a project whose payoff depends on several uncertain years.

The table is a starting point. Actual ranking, security, guarantees, covenants, conversion rights, tax treatment and regulatory treatment depend on the documents and jurisdiction. Qualified legal, tax and accounting advisers should review the final structure.
Read each price in the right units
Providers quote different headline metrics because the instruments generate returns differently. A repayment cap, coupon, benchmark spread and pre-money valuation cannot be compared side by side without translating them into common business outcomes.

For debt measured at amortized cost, IFRS 9 treats certain fees and transaction costs as part of the effective interest calculation rather than as something separate from the financing. That accounting principle reinforces a practical point: compare the cash received and all required cash flows, not the stated coupon alone. Instrument-by-instrument: Fit and hidden cost
Revenue-based financing
Revenue-based financing usually provides capital in exchange for a percentage of periodic revenue until a term ends or a pre-agreed return is reached. The World Bank's reference on revenue financing describes the instrument as self-amortizing because each revenue-linked payment includes both return of capital and return to the funder.
It fits when revenue is visible, margins are healthy, and the funded spend has a short, measurable payback. It can be useful when fixed amortization would be too rigid but equity would transfer too much upside.
What the headline misses: a repayment multiple is not an annual rate. The same total repayment made faster produces a higher annualized cost. The revenue share also comes from the top line, not from profit. As a simple sensitivity, a payment equal to 5% of revenue consumes one-third of a 15% EBITDA margin before tax, capital expenditure and other financing costs. That does not make the structure wrong, but it shows why the revenue percentage must be tested against cash margin, not celebrated as a small number.
Ask how revenue is defined, how refunds and taxes are treated, whether there is a minimum payment or term, what happens if sales fall, whether early repayment reduces total cost, what security or account control is required, and whether the provider can change the sweep or decline future draws.
Bank term debt
A term loan fits a defined use whose cash benefit lasts at least as long as the repayment period. Stable cash flow, collateral, sponsor support or a combination of these can improve availability and terms. The detailed mechanics belong in Alehar's guide to business term loan features.
What the headline misses: the company receives less than the face amount after upfront fees and transaction costs, while principal repayments begin according to the contractual schedule. A floating benchmark can move. Collateral and guarantees encumber assets. Covenants can restrict additional debt, dividends, acquisitions, asset sales and other actions. A mandatory cash sweep can shorten the effective life of the facility just when the company is generating cash for reinvestment.
Model the timing of the investment's cash return against interest and principal month by month. A lower-priced loan that amortizes before a new facility or acquisition produces cash can be more dangerous than a higher-priced structure with the right maturity.
Revolving credit
A revolver is designed for repeated draws and repayments, which makes it the natural instrument for recurring working-capital needs. In the United States, the Small Business Administration's CAPLines guidance illustrates the core logic: borrowing against short-term assets, repaying as the cash cycle converts those assets, and drawing again as needs recur. The commercial principle applies more broadly even though structures differ by market.
What the headline misses: the committed amount is not necessarily the usable amount. Borrowing-base eligibility, customer concentration limits, reserves and lender discretion can reduce availability. Unused fees, field examinations, audits, valuations, legal work and continual collateral monitoring add cost. Renewal risk matters because a working-capital line can become operational infrastructure that the company cannot replace quickly.
Compare cost per average usable dollar, not only cost per committed dollar. Stress collections, inventory aging, dilution and customer concentration to see whether the borrowing base contracts at the same time cash is under pressure. Venture debt
Venture debt is usually an addition to equity backing, not a substitute for a financeable company. It works best when a strong investor base, a specific value-creating milestone and a credible next financing or cash-generation path are already visible. The European Investment Bank's overview notes that private venture-debt returns can combine regular interest, deferred interest, fees, equity kickers and other performance-linked elements.
What the headline misses: the loan can include a final fee, warrants, staged draw conditions, an interest-only period that later becomes steep amortization, minimum-cash requirements, covenants and restrictions over intellectual property or additional debt. Warrants mean the financing may be low-dilution rather than strictly non-dilutive.
The main risk is dependency. If repayment assumes a future equity round, model what happens when that round takes longer, prices lower or does not happen. Mezzanine
Mezzanine sits behind senior debt and ahead of ordinary equity in the capital structure. It can fill a transaction or growth-financing gap when senior lenders will not provide the full amount and the company can support a higher-risk instrument. The OECD's work on mezzanine finance describes structures that can combine subordinated debt, profit or revenue participation, payment-in-kind interest and equity-related upside.
What the headline misses: current-pay interest may be only one component. Payment-in-kind interest preserves cash today but compounds the claim due later. A bullet maturity concentrates risk at one date. Arrangement fees, call protection, success fees, warrants and intercreditor terms can add cost or reduce refinancing flexibility.
Build the maturity payoff under each operating and timing case. Show senior debt remaining, accumulated payment-in-kind interest, exit fees and any equity participation. Growth equity as the dilutive benchmark
Growth equity provides permanent capital in exchange for ownership. It can fit when the growth plan is large, long-dated or uncertain; when mandatory repayment would reduce the probability of success; or when the investor's network, governance and follow-on capacity have real value.
What the headline misses: valuation is only one term. Preferred stock can carry liquidation preference, anti-dilution protection, dividend rights and limited voting rights such as electing directors or approving major transactions, as summarized in the U.S. Securities and Exchange Commission's small-business glossary. The actual rights and legal forms vary by jurisdiction and transaction.
Model the fully diluted cap table and shareholder proceeds across downside, base and upside exits. Include the option pool, conversion, preferences, participation, dividends and future rounds. Equity may be expensive when the company succeeds, but that upside sharing is paired with downside risk absorption and the absence of scheduled principal repayment. Test downside capacity before optimizing dilution
Build the capital structure from the downside case upward. Start with the monthly operating model before financing. Add each proposal exactly as documented, including draw dates, fees, interest, amortization, revenue share, cash sweeps, minimum liquidity, covenants and maturity. Then compare at least three cases:
- Base: management's supported operating plan.
- Downside: slower revenue, lower margin, delayed collections or launch, and realistic management actions.
- Upside: faster growth that may accelerate revenue-share payments, cash sweeps, warrant value or equity value.
For every case, record net cash received, lowest cash balance, peak monthly financing outflow, covenant headroom, total cash paid through the comparison date, balance due at maturity, and any equity or warrant outcome. Use the same dates and operating assumptions across all proposals.

Build the funding stack by use, not by product
A company does not need to force the entire growth plan into one instrument. Separate the sources and uses before choosing the stack. A manufacturer might use a term loan or equipment facility for machinery, a revolver for inventory and receivables, and retained cash or equity for a long qualification period in a new market. A software company might use venture debt for a defined milestone but equity for uncertain product development. An acquisition might combine senior debt, mezzanine and sponsor equity because each layer absorbs a different risk.
The discipline is to prevent one apparently available product from financing every use. For each use, record:
- the amount and draw date;
- when the investment is expected to produce cash;
- what happens if the payoff is late or smaller;
- whether the use creates collateral or a borrowing-base asset;
- whether the capital must remain available permanently or can be repaid; and
- which instrument leaves the rest of the plan with enough flexibility.
Preserving equity on one use is not a win if the resulting covenants prevent the company from completing the others.
Force every quote into the same comparison
Give providers the same information, operating cases, requested amount, use of funds and timing. Ask them to populate one term template. Do not let each provider define the comparison around the metric that makes its product look cheapest.
At minimum, require the following:
- gross commitment, initial draw, later draw conditions and expiry;
- net cash delivered after every upfront deduction and funded reserve;
- interest benchmark, margin, floor, default rate and payment dates;
- all arrangement, commitment, unused, monitoring, legal, audit, valuation, exit and prepayment fees;
- principal amortization, revenue share, cash sweep, payment-in-kind and maturity schedule;
- security, guarantees, account control, subordination and intercreditor requirements;
- financial, reporting, information and negative covenants, with definitions and cure rights;
- warrants, conversion, equity kickers or other upside participation;
- conditions that allow the provider to stop future draws, demand repayment or change availability; and
- transfer, refinancing, early-repayment and renewal terms.
Return the completed schedule to each provider and ask them to correct it before documents are negotiated. This will not replace legal review, but it exposes differences early and creates one economic source of truth for management and the board.
Common mistakes
- Treating non-dilutive as risk-free: ownership stays intact while cash, collateral and strategic flexibility become more constrained.
- Comparing quoted rates: a coupon, repayment cap and valuation are treated as though they measure the same thing.
- Modeling only the base case: the financing works only if the investment performs on schedule.
- Ignoring usable availability: borrowing-base exclusions or draw conditions reduce the cash actually available when needed.
- Funding structural losses with working-capital debt: the repayment source never appears, so renewal becomes survival.
- Calling warrants non-dilutive: the option value and potential ownership transfer are left out of the comparison.
- Deferring cost with payment-in-kind interest: today's cash relief becomes a larger maturity balance without a credible refinancing plan.
- Optimizing ownership percentage but not shareholder outcomes: equity preferences, future rounds and governance rights are not modeled.
- Signing before the reporting process exists: the company cannot calculate covenants, borrowing-base availability or provider reporting reliably after closing.
Decision checklist
- Separate the growth plan into specific uses, amounts and draw dates.
- Identify the cash repayment source and timing for every non-equity use.
- Reject debt that the downside case cannot service with credible management actions.
- Compare net proceeds and every financing cash flow on the same monthly timeline.
- Model availability, minimum liquidity, covenants and maturity, not only total cost.
- Value warrants, equity kickers and growth-equity ownership across multiple exit outcomes.
- Review security, guarantees, control rights and prohibited actions with qualified counsel.
- Check that the financing leaves capacity for the next milestone and the next raise.
- Use a blended stack only when each layer has a clear job and the combined downside remains financeable.
- Choose the proposal that protects execution and shareholder value, not the one with the best marketing label.
