It also has hard formal edges: the sale of GmbH shares must be notarised, and buyers expect the documentation to be in order long before the notary appointment. Start earlier than feels necessary, and start with the numbers. Most succession routes, whether a family handover, a management buyout, or a sale to a strategic or an investor, become easier when the company's reporting, contracts and dependencies are in order well before anyone outside sees them. We work with owners to get the company transaction-ready, compare the realistic routes on real numbers, and then run the chosen process with the discretion these situations demand. Nothing goes to market before you decide it should.
Keep the Hausbank relationship; it is worth a lot. But a single relationship is not a market view. Growth financing, acquisition debt or a refinancing often gets better terms when your house bank knows other banks and debt funds are looking too, and larger financings increasingly involve lenders beyond the traditional banking relationship. We prepare the model and financing materials, create that comparison quietly, and let you negotiate from an informed position without damaging the relationship you have built.
In Germany, the transfer of GmbH shares must be notarised, so a sale ends in a formal, carefully sequenced signing rather than a simple exchange of contracts. In practice that raises the bar earlier in the process: buyers and their advisors expect the documentation, shareholder resolutions and corporate records to be clean well before the notary appointment. We are not lawyers and do not replace yours. We run the transaction process and the preparation so the legal steps land on schedule.
